We are focused on the exciting and emerging US and global cannabis and psychedelics industries. Our experience runs from startups to venture capital, going public transactions, mergers & acquisitions, resolving business disputes, and patent prosecution, licensing and disputes. We also act as “outside general counsel” to growing companies not quite ready for a full-time in-house counsel.

About David Feldman

The entrepreneur’s advocate

Our founder and Managing Partner, David Feldman, who has published four books on finance and entrepreneurship, likes to say he’s had a blessed 30+ year career. He came to prominence in the 2000s as a leading attorney in alternatives to traditional IPOs such as reverse mergers and direct listings. Starting in 2010, he worked with the SEC in implementing regulations regarding Regulation A+, a simplified and streamlined IPO created under the JOBS Act. Feldman is credited with coining the term “Regulation A+” now widely utilized to refer to the new technique, and led the first Regulation A+ IPO onto the Nasdaq in 2017.

Since 2013 he has worked on complex business transactions in the cannabis and psychedelics space, earning numerous accolades. These include top recognition from the global legal guide Chambers & Partners, being named a “Cannabis Law Trailblazer” by the National Law Journal and a top lawyer in the cannabis industry by Business Insider. He has also been listed multiple times in the Top 200 Cannabis Lawyers published by Cannabis Law Digest. He’s a graduate of the Wharton School of Business and the Carey Law School at the University of Pennsylvania.

Fast Forward to Growth

In 2019 Feldman launched Skip Intro Advisors, LLC to assist growing businesses in the cannabis and psychedelics space as they reach key inflection points. Skip Intro has a strong team of successful and experienced professionals both from within and outside the cannabis industry focused on strategy, finance and M&A, branding and marketing, technology and real estate.

The firm, whose slogan is “Fast Forward to Growth,” also offers assistance with cannabis licensing applications. In a recent win, in May 2021 the firm negotiated the sale of Keystone Canna Remedies, a 3-dispensary group in Pennsylvania, to multistate operator TerrAscend Corp. at a $70 million enterprise value (David also represented Keystone as their attorney in the transaction). The firm is currently active in engagements relating to equipment and media businesses in the cannabis space, as well as assignments for psychedelics companies planning a go-public strategy.

    David Feldman concentrates his law practice on corporate and securities law and mergers and acquisitions, as well as general representation of public and private companies, entrepreneurs, investors, and private equity and venture capital firms. David has represented a wide range of clients in the legal cannabis and psychedelics industries since 2013. He provides guidance on private placements, public offerings, loan structuring and fund formation for cannabis companies, as well as corporate structuring advice and applications for grow, processing and dispensary licenses. He also advises on risk assessment issues for large, multinational businesses seeking to enter the cannabis industry. The global guide Chambers & Partners ranked Mr. Feldman as a leading US attorney in cannabis law and one of only seven US lawyers in “band 1” for corporate and transactional work in the industry. In addition, the National Law Journal named him a “Cannabis Law Trailblazer” and Business Insider named him as a top lawyer in the cannabis industry. He has also been listed several times in the Top 200 Cannabis Lawyers published by Cannabis Law Digest. David is the former team lead of an AmLaw 100 firm’s 60-attorney Cannabis Industry Group. He frequently speaks at industry conferences and is quoted by numerous publications about legal developments and business news in this rapidly expanding market.

    David also advises emerging growth companies in a range of industries with regard to alternatives to traditional financing through initial public offerings, and is considered an authority on public offerings through SEC Regulation A+. He published a book on that subject, called Regulation A+ and Other Alternatives to a Traditional IPO (John Wiley & Sons), in 2018. David has also published The Entrepreneur’s Growth Startup Handbook: 7 Secrets to Venture Funding and Growth Success (2013) and the award-winning Reverse Mergers and Other Alternatives to a Traditional IPO (First Edition 2006, Second Edition 2009). A Wharton School and University of Pennsylvania Law School graduate and former Chair of Wharton’s worldwide alumni, David is not just a lawyer – he’s a community builder. She also completed a Certificate Program through the Program on Negotiation at Harvard Law School and UC California Berkeley’s Certificate Program on Sustainable Capitalism and ESG.

    Gretchen L. Temeles, Ph.D., of counsel, is an experienced intellectual property (IP) attorney and scientist who assists clients in the cannabis and psychedelics space in formulating comprehensive global IP strategies to further their business goals. She also advises clients in the biotechnology, chemical, and pharmaceutical industries. Her experience includes patent portfolio management, both U.S. and international patent prosecution, patent landscape analyses, freedom-to-operate searches, IP due diligence, non-infringement and invalidity opinions, trade secret analyses, European opposition proceedings, and transactional work, including material transfer agreements, sponsored research agreements and licensing agreements.
    Dr. Temeles’ experience as a scientist in the biotechnology industry is foundational to her IP practice and the practical, real-world approach she brings to solving legal problems. She was a group leader in a biotechnology company focused on small molecule drug discovery in therapeutic areas that included neurological disorders, inflammation, cancer, and infectious disease. Previously, she held research positions at the University of Pennsylvania, and Merck Sharpe and Dohme Research Laboratories. Dr. Temeles is a co-inventor on two U.S. patents and has authored peer-reviewed scientific papers.     David Pejovic is a New York cannabis lawyer who helps advise clients in the adult-use cannabis market on a wide variety of business facing issues including: regulatory compliance, equity fundraising, commercial real estate, and corporate governance. David entered the adult-use cannabis industry as a small business owner in the cannabis ecosystem and deeply understands the issues that cannabis operators face on a day-to-day basis.     David founded and chairs the Cannabis Association of New York’s (CANY) Municipal Affairs Committee, helping provide equitable cannabis zoning policy support at the state level and sits as co-founder of CANY’s Retail Committee. His work at CANY helps drive operator focused policy and education for the industry from a land use, operative, and financial products perspective.

    David’s legal career started with tokenized securities & commodities work in the blockchain legal space, clerking full-to-part time through law school. He is admitted to practice in New York and is a graduate of the Villanova Law class of 2021.
